Professional Template License Agreement

Effective Date: March 2026

This Template License Agreement (“Agreement”) governs the purchase and use of templates, frameworks, guides, and related digital resources (“Templates”) provided by Janice Christopher Marketing Agency LLC (“JCMA,” “we,” “our,” or “us”).

By purchasing, downloading, or using any Templates provided by JCMA, you agree to the terms of this Agreement.

1. License Grant

Upon purchase or authorized access, JCMA grants the purchaser a limited, non-exclusive, non-transferable license to use the Templates for internal business purposes.

This license allows the purchaser to:

  • customize Templates for their own business
  • modify Templates for use within their organization
  • use Templates when working with their own clients

This license does not transfer ownership of the Templates.

All intellectual property rights remain the property of Janice Christopher Marketing Agency LLC.

2. Permitted Use

Purchasers may:

  • edit Templates to match their branding
  • modify wording or structure for internal use
  • provide completed documents to their own clients
  • incorporate the Templates into their internal agency workflows

Templates may be used only by the purchasing business and its employees or contractors working directly within that business.

3. Prohibited Use

Purchasers may not:

  • resell the Templates
  • distribute the Templates to third parties
  • share the Templates with other agencies
  • upload Templates to public websites or marketplaces
  • include Templates in training programs or courses
  • sublicense the Templates
  • claim the Templates as their own intellectual property
  • repackage Templates as their own product

The Templates may not be used to create competing template products or derivative template systems.

4. No Teaching or Redistribution

Purchasers may not use the Templates to:

  • teach marketing systems based on JCMA frameworks
  • create educational courses using JCMA materials
  • provide training programs derived from the Templates
  • distribute the Templates within masterminds, communities, or professional groups

5. Digital Product Delivery

Templates are delivered digitally.

Once the Templates have been accessed or downloaded, they are considered received.

Due to the nature of digital products, all sales are final unless otherwise stated in writing.

6. Intellectual Property Ownership

All Templates, frameworks, methodologies, and materials remain the exclusive intellectual property of Janice Christopher Marketing Agency LLC.

This Agreement grants only a license to use the materials. It does not transfer ownership rights.

7. Violation of License

Unauthorized distribution, resale, or reproduction of JCMA Templates constitutes a violation of this Agreement and applicable intellectual property laws.

JCMA reserves the right to pursue legal remedies including:

  • termination of the license
  • injunctive relief
  • financial damages
  • recovery of legal fees

8. Limitation of Liability

Templates are provided for informational and business support purposes.

JCMA makes no guarantees regarding business results resulting from the use of the Templates.

To the fullest extent permitted by law, JCMA shall not be liable for any damages arising from the use of the Templates.

9. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Connecticut.
